Intellectual Property Rights

All concepts, ideas, copy, sketches, artboards, digital assets, and other materials (collectively, the “Materials”) developed or presented by the agency in connection with this Agreement are and shall remain the exclusive property of the agency. All copyrights and other intellectual property rights therein are retained by the agency.

The Materials are provided solely for evaluation purposes. The client shall not use, reproduce, distribute, adapt, modify, extract, separate, or otherwise exploit the Materials, in whole or in part, including as individual elements independent of the Materials as a whole, in any manner or medium, for any purpose, without the agency’s prior written consent and formal engagement of the agency for the applicable project.

Any unauthorized use of the Materials may constitute a breach of this Agreement and a violation of applicable intellectual property laws.
